These Website Terms & Conditions form a binding agreement between you and Cyber Protection Services LLC. They explain the rules for using our website and the legal terms that apply when you do. Please read them carefully.

These Website Terms & Conditions (the "Terms") govern your access to and use of the website located at https://www.cyberprotection.com, together with its subdomains, pages, content, and features (collectively, the "Website"), which is operated by Cyber Protection Services LLC, a limited liability company organized under the laws of the State of Maryland, United States ("CybPro," "we," "us," or "our"). By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookies Policy, each of which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Website.

Please note. Section 20 (Dispute Resolution & Arbitration) requires most disputes to be resolved through binding individual arbitration and contains a waiver of class actions and jury trials. Section 14 (Limitation of Liability) limits the amount we may owe you. These provisions affect your legal rights; please review them.


1. Definitions

"Content" — All text, graphics, images, logos, designs, software, data, documentation, articles, and other materials made available on or through the Website, including our cybersecurity, governance, risk, and compliance ("GRC") materials.

"Services" — The products and professional services offered by CybPro, which may include cybersecurity and GRC consulting, Cybersecurity Maturity Model Certification ("CMMC") readiness and advisory services, the TripleCV (Continuous Control Compliance Verification) GRC platform, web services, and related offerings, whether described on the Website or provided under a separate agreement.

"User Content" — Any information or materials you submit, upload, post, or transmit through the Website, including form submissions, inquiries, comments, and feedback.

"You" / "your" — The individual accessing the Website and, where you act on behalf of an organization, that organization.

2. Acceptance & eligibility

The Website is intended for businesses and professionals. By using it, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you use the Website on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and the organization.

The Website is operated from the United States. We make no representation that the Website or Content is appropriate or available for use in other locations. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws.

3. Relationship to other agreements

These Terms govern your use of the Website. Our paid Services are provided under separate written agreements, which may include a master services agreement, statement of work, order form, or the TripleCV GRC platform subscription terms (each, a "Service Agreement"). To the extent any Service Agreement conflicts with these Terms regarding the Services it covers, that Service Agreement controls for those Services. Nothing on the Website constitutes an offer to provide Services on particular terms; the provision of Services is subject to a mutually executed Service Agreement.

4. Changes to these Terms

We may update these Terms from time to time to reflect changes in our Website, our practices, or applicable law. When we make changes, we will revise the "Last revised" date at the top of this page, and where the changes are material we will take reasonable steps to provide notice (for example, by posting a notice on the Website). Your continued use of the Website after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Website.

5. The website & our services

The Website provides information about CybPro and our Services, including the TripleCV GRC platform, CMMC and compliance offerings, web services, and our cybersecurity blog. We may add, change, suspend, or discontinue any part of the Website or Content at any time without liability to you. We strive to keep the Website available but do not guarantee that it will be uninterrupted, timely, secure, or error-free, and we are not responsible for any reliance you place on its availability.

6. Accounts & credentials

Some features may require you to register for an account or receive access credentials. If so, you agree to provide accurate, current, and complete information; to keep that information up to date; and to keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect any unauthorized use of your account or any other breach of security. We may suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.

7. Acceptable use

You agree to use the Website lawfully and in accordance with these Terms. You will not, and will not permit any third party to:

  • use the Website for any unlawful, fraudulent, or harmful purpose, or in violation of any applicable law or regulation;
  • infringe or misappropriate any intellectual property, privacy, publicity, or other right of CybPro or any third party;
  • probe, scan, or test the vulnerability of, or attempt to gain unauthorized access to, any part of the Website, its systems, or networks, except under a separate written authorization (such as an authorized penetration-testing engagement) from us;
  • introduce any virus, worm, malware, ransomware, or other malicious or harmful code, or interfere with or disrupt the integrity or performance of the Website;
  • use any robot, spider, scraper, or other automated means to access, harvest, or index the Website or Content, except for legitimate search-engine indexing or as we expressly permit in writing;
  • reverse engineer, decompile, or disassemble any software made available through the Website, except to the extent that restriction is prohibited by law;
  • circumvent, disable, or otherwise interfere with security-related features or access controls;
  • misrepresent your identity or affiliation, or impersonate any person or entity;
  • collect or store personal data about other users without authorization; or
  • submit through the Website any classified information, controlled unclassified information ("CUI"), export-controlled technical data, or other sensitive information that is not appropriate for transmission through a general website. Such information must be exchanged only through channels we designate under an applicable Service Agreement.

8. Intellectual property

The Website and all Content are owned by CybPro or its licensors and are protected by United States and international copyright, trademark, patent, trade-secret, and other intellectual-property laws. "Cyber Protection Services," "CybPro," and our logos are trademarks or service marks of CybPro. Our proprietary technologies, including certain patent-pending methods relating to compliance mapping and the generation of compliance artifacts, remain our exclusive property. All rights not expressly granted are reserved.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Website and to view, download, and print Content solely for your own lawful, personal, or internal business purposes. You may not copy, reproduce, republish, distribute, modify, create derivative works from, publicly display, frame, sell, or otherwise exploit the Website or Content for any commercial purpose without our prior written consent.

9. Your content & submissions

You retain ownership of your User Content. By submitting User Content, you grant CybPro a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, and process that User Content for the purposes of operating the Website, responding to you, and providing and improving our Services. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate these Terms or any third-party right or applicable law. Please do not submit confidential, sensitive, or regulated information through public or general contact features. If you provide suggestions or feedback, you agree that we may use it without restriction or obligation to you.

10. Third-party links & services

The Website may contain links to, or integrate, third-party websites, content, or services that we do not control, including embedded media and social-media features. We provide these for your convenience and do not endorse and are not responsible for them. Your use of any third-party website or service is governed by that third party's own terms and privacy practices, which we encourage you to review.

11. Informational purpose; no professional guarantee

The Content, including any information about cybersecurity, CMMC, NIST SP 800-171, OSCAL, GRC, and related frameworks, is provided for general informational purposes only. It is not legal, regulatory, security, or professional advice tailored to your circumstances, and it does not create a professional or advisory relationship. Cybersecurity and compliance outcomes depend on many factors specific to your organization. We do not warrant or guarantee that use of the Website, the Content, or our Services will result in any particular certification, audit result, regulatory compliance, or level of security. You should obtain advice from qualified professionals before acting on any Content, and any engagement of our Services will be governed by an applicable Service Agreement.

12. Fees & payment

Access to the Website is provided free of charge. Fees for paid Services, if any, are set out in the applicable Service Agreement or order, and payment terms, taxes, and any refund rights are governed by that agreement. Unless an applicable Service Agreement states otherwise, all fees are non-refundable.

13. Disclaimer of warranties

THE WEBSITE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, CYBPRO DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Website or Content will be accurate, complete, reliable, current, uninterrupted, secure, or free of viruses or other harmful components, or that defects will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CYBPRO AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CYBPRO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO CYBPRO FOR ACCESS TO THE WEBSITE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

These limitations form an essential basis of the agreement between you and us. Liability for paid Services is addressed in the applicable Service Agreement. Nothing in these Terms limits liability that cannot be limited under applicable law.

15. Indemnification

You agree to defend, indemnify, and hold harmless CybPro and its members, managers, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Website; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or any right of a third party. We may assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us.

16. Term, suspension & termination

These Terms remain in effect while you use the Website. We may suspend or terminate your access to the Website at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, the licenses granted to you end. The sections that by their nature should survive termination — including Definitions, Intellectual Property, Informational Purpose, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and General Provisions — will survive.

17. Privacy

Our handling of personal data is described in our Privacy Policy, and our use of cookies and similar technologies is described in our Cookies Policy. By using the Website, you acknowledge those policies.

18. Export controls, sanctions & U.S. government users

You agree to comply with all applicable U.S. export-control and sanctions laws, including the Export Administration Regulations (EAR), the International Traffic in Arms Regulations (ITAR), and regulations administered by the U.S. Treasury's Office of Foreign Assets Control (OFAC). You will not access or use the Website in violation of those laws, and you will not transmit export-controlled technical data or CUI through the Website. You represent that you are not located in, or a national or resident of, any country or on any list subject to U.S. sanctions that would prohibit your use of the Website.

Any software or technology made available through the Website is a "commercial product" or "commercial item" as those terms are used in the Federal Acquisition Regulation (FAR) and the Defense Federal Acquisition Regulation Supplement (DFARS). Any use, duplication, or disclosure by the U.S. Government is subject to the restrictions in FAR 12.211/12.212 and DFARS 227.7202, as applicable.

19. Governing law & venue

These Terms and any dispute arising out of or relating to them or the Website are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-laws principles. Subject to Section 20, you agree that any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Maryland, and you consent to the personal jurisdiction of those courts.

20. Dispute resolution & arbitration

Informal resolution first

Before initiating any formal proceeding, you agree to first contact us at [email protected] and describe the dispute, so that we can try to resolve it informally. The parties will make good-faith efforts to resolve the dispute for at least thirty (30) days after notice.

Binding individual arbitration

If the dispute is not resolved, you and CybPro agree that any remaining dispute arising out of or relating to these Terms or the Website will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court, except as provided below. The arbitration will be conducted in Maryland (or by remote means where available), and judgment on the award may be entered in any court of competent jurisdiction.

Class-action and jury-trial waiver

YOU AND CYBPRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND CYBPRO WAIVE ANY RIGHT TO A JURY TRIAL.

Exceptions

Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information.

Your right to opt out

You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. If you opt out, Section 19 governs. If any portion of this Section is found unenforceable, the remainder will continue to apply, except that if the class-action waiver is found unenforceable, this entire arbitration Section will be void.

21. Force majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, internet or utility failures, cyberattacks, or third-party service outages.

22. General provisions

These Terms, together with the Privacy Policy, Cookies Policy, and any applicable Service Agreement, constitute the entire agreement between you and CybPro regarding the Website and supersede any prior agreements on that subject. If any provision is held unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship. We may provide notices to you by posting on the Website or by email. Headings are for convenience only. You consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing.
